Terms of Service

1. Acceptance of Terms

By accessing the website borealtech.solutions, applications, or artificial-intelligence-related services (collectively, the “Services”) provided by Boréal Tech Solutions, Inc. (“Boreal.AI,” “we,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use our Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Boreal.AI provides an artificial intelligence platform including, but not limited to, automation tools, data analysis, natural language processing, and content generation capabilities. The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, subject to the commitments of your subscription plan.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, complete, and up-to-date information during registration
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities conducted under your account

We reserve the right to suspend or close any account in the event of a violation of these Terms or suspicious activity.

4. Acceptable Use

You agree to use the Services in compliance with applicable laws and these Terms. You are strictly prohibited from:

• Using the Services for illegal, fraudulent, or harmful purposes
• Attempting to bypass, disable, or compromise security measures
• Reverse engineering, decompiling, or disassembling any part of the Services
• Using the Services to generate hateful, discriminatory, or rights-infringing content
• Intentionally overloading the infrastructure with excessive automated requests
• Reselling, sublicensing, or redistributing access to the Services without written authorization

5. Intellectual Property

All Services, including their design, source code, AI models, algorithms, documentation, trademarks, and all other content, are the exclusive property of Boréal Tech Solutions, Inc. and are protected by Canadian and international intellectual property laws.

You retain ownership of any content you submit to the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, process, and store that content to the extent necessary to provide the Services.

Outputs generated by our AI models from your User Content (“Outputs”) belong to you, subject to pre-existing intellectual property rights.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Services, you consent to the practices described in that policy.

We do not claim any ownership rights over the data you provide to us. We do not use your User Content to train our AI models without your explicit consent.

7. Payment and Billing

Certain Services are offered on a paid subscription basis. By subscribing to a paid plan, you agree to:

• Pay all applicable fees according to your chosen plan, in Canadian dollars (CAD) or the indicated currency
• Provide valid and up-to-date payment information
• Accept automatic renewal of your subscription, unless cancelled in advance

Fees are generally non-refundable, unless required by law or permitted by our specific refund terms. We reserve the right to modify our pricing with thirty (30) days’ notice.

Applicable taxes (GST, QST, or others) will be added to subscription fees in accordance with applicable tax legislation.

8. Service Availability

We use commercially reasonable efforts to maintain Service availability. However, we do not guarantee uninterrupted or error-free access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (with reasonable notice when possible)
• System updates and improvements
• Force majeure events (circumstances beyond our reasonable control)
• Unforeseen technical issues

For customers on an enterprise plan, specific service level commitments may be defined in a separate agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOREAL.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, goodwill, or business opportunities
• Any damages resulting from the use or inability to use the Services

Our total cumulative liability for any claims related to the Services shall not exceed the amount you paid us during the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

AI-generated outputs are provided “as is.” We do not guarantee the accuracy, completeness, or suitability of generated outputs, and you are responsible for verifying them before use.

10. Indemnification

You agree to indemnify, defend, and hold harmless Boréal Tech Solutions, Inc., its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Services in violation of these Terms
• Your User Content or the data you submit
• Any violation of applicable laws in connection with your use of the Services
• Any infringement of third-party rights

11. Termination

You may terminate your account at any time by contacting our team at [email protected] or through your account settings. Termination will take effect at the end of the current billing period.

We may suspend or terminate your access to the Services immediately, without notice, if:

• You violate these Terms
• Your use poses a risk to the security of the Services or other users
• Required by law

Upon termination, your right to use the Services ceases immediately. You will be able to download your data for a period of thirty (30) days following termination, after which it will be deleted.

12. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, District of Montreal.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. In the event of material changes, we will notify you by email or through a prominent notice on our Services at least thirty (30) days before they take effect.

Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services and terminate your account.
